Welcome to ERABALANCE SRL. These Terms and Conditions (“Terms”) govern your use of our services, software, and website.

By using our services, you agree to be bound by these Terms. If you do not agree, please refrain from using our services.

2. Scope of Services

We provide the following professional services:

  • Custom software development
  • IT and management consulting
  • Data processing, website administration, and related services

All services are delivered based on individual agreements or proposals.

3. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information necessary to deliver services
  • Respect all licensing terms of delivered software
  • Use our services only for lawful purposes
  • Promptly pay invoices under agreed payment terms

4. Intellectual Property

Unless otherwise agreed in writing:

  • All custom-developed software, documentation, and code remain the intellectual property of ERABALANCE SRL until full payment is received
  • After full payment, the client is granted a non-exclusive, non-transferable license to use the deliverables for agreed purposes

We retain the right to reuse generalized know-how, code snippets, and components that are not client-specific.

5. Confidentiality

Both parties agree to maintain strict confidentiality of all business, technical, or personal information shared in the course of collaboration. This obligation remains in force even after the end of the agreement.

6. Warranties & Disclaimers

We aim to deliver high-quality, reliable services. However, unless explicitly stated:

  • All services are provided “as is” without warranties of any kind, express or implied
  • We do not guarantee uninterrupted service or absolute error-free software
  • ERABALANCE SRL is not liable for any indirect, incidental, or consequential damages

7. Limitation of Liability

To the maximum extent permitted by law, our liability is limited to the amount paid by the client for the specific service giving rise to the claim.

8. Payment Terms

Invoices are issued according to agreed project milestones or monthly retainers. Standard payment terms are 14 days from the invoice date unless otherwise agreed.

Late payments may incur interest charges according to applicable law.

9. Termination

Either party may terminate the engagement with written notice if:

  • The other party breaches material terms of the agreement
  • Insolvency or business closure occurs
  • The collaboration is no longer viable or effective

Upon termination, all outstanding payments become immediately due.

10. Governing Law

These Terms are governed by the laws of Romania. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Arad, Romania.

11. Modifications

We reserve the right to modify these Terms at any time. Updated versions will be published on our website and take effect immediately unless stated otherwise.
